Introductory provisions

These general terms and conditions (the “Terms”) of the entrepreneur Jakub Dostál, with registered office at Jindřichov 118, 466 02 Lučany nad Nisou, Czech Republic, Company ID 87029545, VAT No. CZ8710092798, registered in the Trade Register, e-mail info@slackshop.cz, telephone +420 728 666 714, shop address Prosečská 117, 468 04 Jablonec nad Nisou (“We” or the “Seller”) govern, in accordance with Section 1751(1) of Act No. 89/2012 Coll., the Civil Code, as amended (the “Civil Code”), the mutual rights and obligations of You, as buyers, and Us, as sellers, arising in connection with or on the basis of a purchase contract (the “Contract”) concluded via the E-shop on the website www.slackshop.cz.

All information on the processing of Your personal data can be found in our Privacy Policy.

The provisions of these Terms form an integral part of the Contract. The Terms are drawn up in the Czech language and are also available in this English translation; in case of any discrepancy between the Czech and English versions, the Czech version prevails. We may unilaterally change or amend the Terms. This does not affect rights and obligations that arose while a previous version of the Terms was in effect.

As You surely know, we communicate primarily at a distance. Our Contract is therefore concluded using means of distance communication, which allow us to reach an agreement without You and Us being physically present at the same time; the Contract is thus concluded at a distance within the E-shop, via the website interface (the “E-shop web interface”).

If any part of the Terms contradicts what we have agreed together during Your purchase in Our E-shop, that specific agreement takes precedence over the Terms.

1. Definitions

1.1 Price is the amount You pay for the Goods;

1.2 Shipping Price is the amount You pay for delivery of the Goods, including packaging;

1.3 Total Price is the sum of the Price and the Shipping Price;

1.4 VAT is value added tax under the applicable legislation;

1.5 Invoice is a tax document issued for the Total Price in accordance with the Value Added Tax Act;

1.6 Order is Your binding proposal to conclude a Contract with Us for the purchase of Goods;

1.7 User Account is an account created on the basis of the information You provide, which allows the entered data, the history of ordered Goods and concluded Contracts to be stored;

1.8 You are the person purchasing in Our E-shop, referred to by law as the buyer;

1.9 Goods are everything You can buy in the E-shop.

2. General provisions and information

2.1 Goods can only be purchased via the E-shop web interface.

2.2 When purchasing Goods, You are obliged to provide Us with all information correctly and truthfully. We will therefore consider the information You provide in the Order to be correct and true.

2.3 Our E-shop also provides access to reviews of Goods by other consumers. We ensure and verify the authenticity of these reviews by linking each review to a specific order: in our internal system we can see the linked order ID for every review, so we are able to verify and prove that the review comes from a real consumer.

3. Conclusion of the Contract

3.1 The Contract with Us may be concluded in Czech or English.

3.2 The Contract is concluded at a distance via the E-shop, and You bear the costs of using means of distance communication. These costs do not differ from the standard rate You pay for using such means (in particular internet access), so You should not expect any additional costs charged by Us beyond the Total Price. By submitting the Order, You agree to the use of means of distance communication.

3.3 To conclude the Contract, You need to create an Order in the E-shop. The Order must contain the following information:

  1. Information about the Goods being purchased (in the E-shop You mark the Goods You wish to buy with the “Add to cart” button);
  2. Information about the Price, the Shipping Price, the method of payment of the Total Price and the requested delivery method; this information is entered while creating the Order in the E-shop user interface, and the Price, Shipping Price and Total Price are calculated automatically based on the Goods, delivery and payment method You select;
  3. Your identification and contact details needed to deliver the Goods, in particular first name, surname, delivery address, telephone number and e-mail address.

3.4 While creating the Order, You can change and check the data until the Order is completed. After checking, You complete the Order by clicking the “Order with obligation to pay” button. Before clicking the button, You must confirm that You have read and agree to these Terms; otherwise the Order cannot be completed. A checkbox is used for this confirmation. After clicking “Order with obligation to pay”, all the information You have entered is sent directly to Us.

3.5 We will confirm Your Order as soon as possible after receiving it by a message sent to the e-mail address given in the Order. The confirmation will include a summary of the Order and these Terms as an attachment. The Terms in the version effective on the date of the Order, i.e. the version attached to the confirmation e-mail, form an integral part of the Contract. The Contract between Us and You is concluded upon confirmation of the Order.

3.6 In some cases We may be unable to confirm Your Order, in particular when the Goods are not available or when You order more units of Goods than We allow. We will always inform You of the maximum quantity in the E-shop in advance, so it should not come as a surprise. If for any reason We cannot confirm the Order, We will contact You and send You an offer to conclude the Contract in a form modified from the Order. In that case the Contract is concluded when You confirm Our offer.

3.7 If an obviously incorrect Price is stated in the E-shop or in the Order, We are not obliged to deliver the Goods to You at that Price, even if You have received the Order confirmation and the Contract has thus been concluded. In such a situation We will contact You without delay and send You an offer to conclude a new Contract in a form modified from the Order. The new Contract is concluded when You confirm Our offer. An obvious error in the Price is, for example, a Price that does not correspond to the usual price at other sellers, or a Price with a digit missing or added.

3.8 Once the Contract is concluded, You are obliged to pay the Total Price.

3.9 If You have a User Account, You can place an Order through it. Even then You must check that the pre-filled data are correct, true and complete. The ordering process is the same as for a buyer without a User Account; the advantage is that You do not have to fill in Your identification details repeatedly.

3.10 In some cases We allow a discount on the purchase of Goods. To receive the discount, You must enter the discount details in the designated field when creating the Order. If You do so, the Goods will be provided to You at the discounted price.

4. User Account

4.1 Upon registration in the E-shop, You can access Your User Account.

4.2 When registering a User Account, You are obliged to enter all data correctly and truthfully and to update them in the event of any change.

4.3 Access to the User Account is secured by a username and password. You are obliged to keep these login details confidential and not disclose them to anyone. We bear no responsibility for any misuse of them.

4.4 The User Account is personal and You are not entitled to allow third parties to use it.

4.5 We may cancel Your User Account, in particular if You have not used it for more than 3 years or if You breach Your obligations under the Contract.

4.6 The User Account may not be available continuously, in particular due to necessary maintenance of hardware and software.

5. Prices and payment terms, retention of title

5.1 The Price is always stated in the E-shop, in the Order and, of course, in the Contract. In the event of a discrepancy between the Price stated for the Goods in the E-shop and the Price stated in the Order, the Price stated in the Order applies, which will always be identical to the price in the Contract. The Order also states the Shipping Price or the conditions under which shipping is free.

5.2 The Total Price includes VAT and all fees required by law.

5.3 We will request payment of the Total Price after the Contract is concluded and before the Goods are handed over. You can pay the Total Price in the following ways:

  1. Bank transfer. We will send You the payment details in the Order confirmation. When paying by bank transfer, the Total Price is due within 7 days of the Order confirmation.
  2. Online card payment. The payment is made through the Comgate payment gateway and is governed by the gateway's terms, available at www.comgate.cz. When paying by card online, the Total Price is due immediately upon submitting the Order.
  3. Cash on personal collection. Goods can be paid for in cash when collected at Our shop. In that case the Total Price is due upon collection of the Goods.

5.4 The Invoice will be issued electronically after payment of the Total Price and sent to Your e-mail address. The Invoice will also be enclosed with the Goods and available in the User Account.

5.5 Ownership of the Goods passes to You only after You have paid the Total Price and taken over the Goods. In the case of a bank transfer, the Total Price is paid when credited to Our account; in other cases, at the moment the payment is made.

6. Delivery of Goods, transfer of risk of damage

6.1 The Goods will be delivered to You within 14 days at the latest by the method You choose from the following options:

  1. Personal collection at Our shop at Prosečská 117, 468 04 Jablonec nad Nisou (by prior arrangement only);
  2. Personal collection at GLS pick-up points;
  3. Delivery by the carriers GLS, FedEx, DHL, UPS;

6.2 The Goods can be delivered to the Czech Republic and to the other countries listed on the Shipping & Payment page of the E-shop.

6.3 The delivery time always depends on the availability of the Goods and on the chosen delivery and payment method. The expected delivery time will be stated in the Order confirmation. The time stated in these Terms is only indicative and may differ from the actual delivery time. For personal collection at the shop, We will always inform You by e-mail when the Goods are ready to be picked up.

6.4 When taking over the Goods from the carrier, You are obliged to check that the packaging is intact and to report any defects to the carrier and to Us without delay. If the packaging shows damage indicating unauthorised handling or opening of the parcel, You are not obliged to accept the Goods from the carrier.

6.5 If You breach Your obligation to take over the Goods, except in the cases under Art. 6.4 of the Terms, this does not mean that We have breached Our obligation to deliver the Goods to You. Failure to take over the Goods is also not a withdrawal from the Contract between Us and You. In such a case, however, We are entitled to withdraw from the Contract due to Your material breach of the Contract, or to store the Goods, for which We are entitled to a fee of CZK 20 for each day of storage. If We decide to withdraw from the Contract, the withdrawal takes effect on the day it is delivered to You. Withdrawal from the Contract does not affect the claim for payment of the Shipping Price or for compensation of damage, if any.

6.6 If, for reasons on Your side, the Goods are delivered repeatedly or in a manner other than agreed in the Contract, You are obliged to reimburse Us for the costs associated with such repeated delivery. We will send You the payment details for these costs to the e-mail address stated in the Contract; they are payable within 14 days of delivery of the e-mail.

6.7 The risk of damage to the Goods passes to You at the moment You take them over. If You do not take over the Goods, except in the cases under Art. 6.4 of the Terms, the risk of damage passes to You at the moment You had the opportunity to take them over but did not do so for reasons on Your side. The transfer of risk means that from that moment You bear all consequences of loss, destruction, damage or any deterioration of the Goods.

6.8 If the Goods were not listed as in stock in the E-shop and an indicative availability time was stated, We will always inform You in the event of:

  1. an extraordinary interruption in the production of the Goods, in which case We will always tell You the new expected availability or that the Goods cannot be delivered;
  2. a delay in the delivery of the Goods from Our supplier, in which case We will always tell You the new expected delivery time.

7. Rights arising from defective performance

7.1 We guarantee that at the time the risk of damage passes under Art. 6.7 of the Terms, the Goods are free of defects, in particular that the Goods:

  1. correspond to the agreed description, type and quantity, as well as quality, functionality, compatibility, interoperability and other agreed characteristics;
  2. are suitable for the purpose for which You require them and to which We have agreed;
  3. are supplied with the agreed accessories and instructions for use, including assembly or installation instructions;
  4. are suitable for the purpose for which Goods of this type are usually used;
  5. in quantity, quality and other characteristics, including durability, functionality, compatibility and safety, correspond to the usual characteristics of Goods of the same type that You can reasonably expect, also with regard to public statements made by Us or another person in the same contractual chain, in particular by advertising or labelling;
  6. are supplied with accessories, including packaging, assembly instructions and other instructions for use that You can reasonably expect; and
  7. correspond in quality or design to the sample or model provided to You before the conclusion of the contract.

7.2 Rights and obligations relating to defective performance are governed by the applicable generally binding legislation (in particular Sections 2099 to 2117 and Sections 2161 to 2174b of the Civil Code and Act No. 634/1992 Coll., on Consumer Protection, as amended).

7.3 If the Goods are defective, in particular if any of the conditions under Art. 7.1 is not met, You may notify Us of the defect and exercise Your rights arising from defective performance (i.e. make a complaint) by e-mail or letter to Our addresses stated in Our identification details, or in person at Prosečská 117, 468 04 Jablonec nad Nisou (by prior arrangement). You may also use the model form provided by Us, which forms Annex 1 to the Terms. When exercising the right, You must choose how You want the defect to be remedied; You cannot change this choice later without Our consent. We will handle the complaint in accordance with the right You have exercised.

7.4 If the Goods are defective, You have the following rights:

  1. to have the defect remedied by delivery of new Goods without defects or of the missing part of the Goods; or
  2. to have the defect remedied by repair of the Goods,

unless the chosen method of remedy is impossible or disproportionately expensive compared to the other method, which is assessed in particular with regard to the significance of the defect, the value the Goods would have without the defect, and whether the defect can be remedied by the other method without significant inconvenience to You.

7.5 We are entitled to refuse to remedy the defect if it is impossible or disproportionately expensive, in particular with regard to the significance of the defect and the value the Goods would have without the defect.

7.6 You are further entitled to:

  1. a reasonable discount on the Price; or
  2. withdraw from the Contract,

if:

  1. We refuse to remedy the defect or fail to remedy it in accordance with the law;
  2. the defect appears repeatedly;
  3. the defect constitutes a material breach of the Contract; or
  4. it is clear from Our statement or from the circumstances that the defect will not be remedied within a reasonable time or without significant inconvenience to You.

7.7 You are not entitled to withdraw from the Contract if the defect of the Goods is insignificant.

7.8 If You caused the defect of the Goods Yourself, You are not entitled to rights arising from defective performance.

7.9 Wear and tear of the Goods caused by their normal use, or, in the case of used Goods, wear corresponding to the extent of their previous use, is not a defect.

7.10 When You make a complaint, We will issue You a written confirmation stating:

  1. the date on which You made the complaint;
  2. the content of the complaint;
  3. the method of handling the complaint You require;
  4. Your contact details for the purpose of informing You about the outcome of the complaint.

7.11 Unless we agree on a longer period, We will remedy the defects within 30 days of receiving the complaint and inform You of the outcome using the contact details provided. If this period expires without result, You may withdraw from the Contract or request a reasonable discount.

7.12 We will inform You of the outcome of the complaint by e-mail and issue You a confirmation of the date and method of handling the complaint. If the complaint is justified, You are entitled to reimbursement of reasonably incurred costs. You must prove these costs, e.g. by receipts or confirmations of shipping costs. If the defect was remedied by delivery of new Goods, You are obliged to return the original Goods to Us; however, We bear the costs of this return.

7.13 If You are a business, You are obliged to notify Us of the defect without undue delay after You could have discovered it, but no later than three days after taking over the Goods.

7.14 If You are a consumer, You are entitled to exercise rights arising from defective performance for a defect that appears in consumer Goods within 24 months of taking them over.

8. Withdrawal from the Contract

8.1 Withdrawal from the Contract, i.e. termination of the contractual relationship between Us and You from its very beginning, may occur for the reasons and in the ways set out in this Article, or in other provisions of the Terms that expressly provide for withdrawal.

8.2 If You are a consumer, i.e. a person buying Goods outside the scope of their business activity, You have the right under Section 1829 of the Civil Code to withdraw from the Contract without giving any reason within 14 days of concluding the Contract or, in the case of a purchase of goods, within fourteen days of taking them over. If the Contract covers several items of Goods or the delivery of several parts of Goods, this period starts only on the day the last item or part is delivered; if under the Contract We are to deliver Goods to You regularly and repeatedly, it starts on the day the first delivery is made.

8.3 You may withdraw from the Contract in any demonstrable way (in particular by sending an e-mail or a letter to Our addresses stated in Our identification details). You may also use the online withdrawal function located in the section of the e-shop dedicated to complaints and returns, marked with the “Return products” button. If You use this option, We will confirm receipt of Your withdrawal notice in text form (e.g. by e-mail) without undue delay, including its content and the date and time it was sent. You may also use the model withdrawal form provided by Us, which forms Annex 2 to the Terms.

8.4 Even as a consumer, You cannot withdraw from the Contract where its subject is a performance listed in Section 1837 of the Civil Code.

8.5 The withdrawal period under Art. 8.2 of the Terms is deemed to be met if You send Us the notice of withdrawal within that period.

8.6 In the event of withdrawal under Art. 8.2 of the Terms, You are obliged to send the Goods back to Us within 14 days of withdrawal and You bear the costs of returning the Goods. You are entitled to a refund of the Shipping Price, but only up to the amount corresponding to the cheapest delivery method We offered. If You withdraw because We have breached the Contract, We also bear the costs of returning the Goods, again only up to the Shipping Price corresponding to the cheapest delivery method We offered.

8.7 In the event of withdrawal from the Contract, the Price will be refunded within 14 days of the withdrawal taking effect to the account from which it was paid, or to the account specified in the withdrawal. However, the amount will not be refunded before We receive the Goods or You prove that You have sent them back to Us. Please return the Goods clean and, if possible, in the original packaging.

8.8 In the event of withdrawal under Art. 8.2 of the Terms, You are liable to Us for any reduction in the value of the Goods resulting from handling them in a way other than necessary to become familiar with their nature, characteristics and functionality, i.e. the way You would examine the Goods in a physical shop. If We have not yet refunded the Price, We are entitled to set off this claim against Your claim for a refund of the Price.

8.9 We are entitled to withdraw from the Contract at any time before We deliver the Goods to You if there are objective reasons why the Goods cannot be delivered (in particular reasons on the part of third parties or reasons relating to the nature of the Goods), even before the period stated in Art. 6.1 of the Terms expires. We may also withdraw from the Contract if it is evident that You have deliberately provided incorrect information in the Order. If You are buying Goods as part of Your business activity, i.e. as a business, We are entitled to withdraw from the Contract at any time, even without giving a reason.

9. Consumer dispute resolution

9.1 We are not bound by any codes of conduct towards buyers within the meaning of Section 1826(1)(e) of the Civil Code.

9.2 We handle consumer complaints via the e-mail address info@slackshop.cz. We will send information on the handling of the complaint to the buyer's e-mail address.

9.3 The Czech Trade Inspection Authority (Česká obchodní inspekce), with its registered office at Štěpánská 796/44, 110 00 Prague 1, Company ID 000 20 869, website: www.coi.cz, is competent for the out-of-court resolution of consumer disputes arising from the Contract. The online dispute resolution platform at http://ec.europa.eu/consumers/odr can be used to resolve disputes between the seller and a consumer buyer arising from a purchase contract concluded electronically.

9.4 The European Consumer Centre Czech Republic, with its registered office at Štěpánská 796/44, 110 00 Prague 1, website: www.evropskyspotrebitel.cz, is the contact point under Regulation (EU) No 524/2013 of the European Parliament and of the Council of 21 May 2013 on online dispute resolution for consumer disputes and amending Regulation (EC) No 2006/2004 and Directive 2009/22/EC (Regulation on consumer ODR).

10. Final provisions

10.1 If our legal relationship contains an international element (for example, if We ship Goods outside the Czech Republic), it will always be governed by the law of the Czech Republic. If You are a consumer, however, this does not affect Your rights under the applicable legislation.

10.2 We will deliver all written correspondence to You by e-mail. Our e-mail address is stated in Our identification details. We will send correspondence to Your e-mail address stated in the Contract, in the User Account, or from which You contacted Us.

10.3 The Contract may only be amended by our written agreement. We are, however, entitled to change and supplement these Terms; such a change will not affect Contracts already concluded, only Contracts concluded after the change takes effect. We will only inform You of the change if You have a User Account (so that You have this information when ordering new Goods; the change does not give rise to a right of termination, as there is no Contract in place that could be terminated), or if We are to deliver Goods to You regularly and repeatedly under the Contract. We will send You information about the change to Your e-mail address at least 14 days before it takes effect. If We do not receive Your notice of termination of the Contract for regular and repeated deliveries within 14 days of sending the information about the change, the new terms become part of our Contract and apply to the next delivery following the change. If You give notice, the notice period is 2 months.

10.4 In the event of force majeure or unforeseeable events (natural disaster, pandemic, operational failures, supplier outages, etc.), We are not liable for damage caused as a result of or in connection with force majeure, and if the force majeure lasts longer than 10 days, both We and You have the right to withdraw from the Contract.

10.5 The model complaint form and the model withdrawal form are annexed to the Terms.

10.6 The Contract, including the Terms, is archived electronically by Us but is not accessible to You. However, You will always receive these Terms and the Order confirmation with the Order summary by e-mail, so You will always have access to the Contract without Our assistance. We recommend that You always save the Order confirmation and the Terms.

10.7 These Terms take effect on 1 November 2026.
